Terms of Use.

These Terms govern your access to and use of velar.xyz and related services. Velar is operated by Onside.io B.V., registered in the Netherlands. By accessing or using the Service, you agree to these Terms. If you do not agree, please do not use it.

§ 01

Overview of the Service

Velar is an AI-powered performance agent that analyzes developer workflows, productivity, and operational data by integrating with third-party systems - for example, code repositories, task management tools, and communication platforms.

The Service is intended primarily for business use (B2B).

In plain language
Velar reads signals from the tools your team already uses - GitHub, Jira, Slack, and others - to surface how work actually flows. It is built for companies, not individuals.
§ 02

Eligibility

To use the Service, you must:

  • Be at least 18 years old.
  • Act on behalf of a company or organization, where applicable.
  • Have authority to bind that entity to these Terms.
§ 03

Accounts

You may be required to create an account to access the Service. You agree to:

  • Provide accurate and complete information.
  • Keep your login credentials secure.
  • Be responsible for all activity that occurs under your account.

We may suspend or terminate accounts that violate these Terms.

§ 04

Use in an employment context

If you use Velar to analyze employee or contractor activity, you represent and warrant that:

  • You have a valid legal basis under the General Data Protection Regulation (GDPR) for processing such data - for example, legitimate interest or consent where required.
  • You have provided clear notice to affected individuals.
  • You comply with applicable labor and privacy laws, including works council requirements where applicable.
  • You do not use the Service for unlawful surveillance.

Velar acts as a data processor in such cases (see § 08).

Important - workplace monitoring
Using Velar to observe employees or contractors carries real legal obligations. Notify the people involved, confirm your legal basis, and consult your works council where local law requires it.

Integrations & third-party services

Velar integrates with third-party services such as GitHub, Jira, and Slack. By connecting an integration, you:

  • Authorize us to access and process the relevant data.
  • Confirm that you have the legal right to grant such access.
  • Acknowledge that third-party services are governed by their own terms and privacy policies.

We are not responsible for third-party services.

Acceptable use

You agree not to:

  • Use the Service for unlawful or harmful purposes.
  • Monitor individuals without a valid legal basis.
  • Reverse engineer, copy, or resell the Service.
  • Attempt unauthorized access to systems or data.
  • Interfere with the integrity or performance of the Service.
§ 07

AI & analytics disclaimer

Velar provides automated insights and recommendations. You acknowledge that:

  • Outputs may be incomplete, inaccurate, or biased.
  • The Service does not replace human judgment.
  • You are responsible for decisions made based on outputs.
§ 08

Data protection & GDPR

8.1 Roles. For personal data processed through the Service, you act as the Data Controller and we act as the Data Processor under the General Data Protection Regulation.

8.2 Data processing. We process personal data only on your documented instructions, to provide and improve the Service, and in accordance with applicable data protection laws.

8.3 Data Processing Agreement (DPA). A DPA applies to the processing of personal data and forms part of these Terms, or may be provided separately upon request.

8.4 Subprocessors. We may use subprocessors, such as cloud infrastructure providers. We ensure appropriate safeguards are in place. A list of subprocessors is available upon request.

8.5 International transfers. Where personal data is transferred outside the EEA, we ensure appropriate safeguards, such as Standard Contractual Clauses (SCCs) or adequacy decisions.

8.6 Security. We implement appropriate technical and organizational measures to protect data, including encryption in transit, access controls, and logging and monitoring.

8.7 Data subject rights. You are responsible for handling requests from data subjects, such as access or deletion requests. We will assist you where required under the GDPR.

§ 09

Data ownership

You retain all rights to your data. We may use aggregated and anonymized data to:

  • Improve the Service.
  • Develop new features.
  • Produce analytics, without identifying individuals.
§ 10

Confidentiality

We will treat your data as confidential and will not disclose it except as required to provide the Service, or as required by law.

Fees & payments

If applicable:

  • Fees are specified at purchase.
  • Payments are non-refundable unless stated otherwise.
  • We may change pricing with notice.

Intellectual property

All rights in the Service - excluding your data - belong to Velar / Onside.io B.V. You may not:

  • Copy, modify, or create derivative works.
  • Use our branding without permission.
§ 13

Termination

We may suspend or terminate access:

  • If you violate these Terms.
  • If required by law.
  • If the Service is discontinued.

You may stop using the Service at any time.

Disclaimers

The Service is provided "as is" and "as available". We do not guarantee:

  • Accuracy of outputs.
  • Continuous availability.
  • Fitness for a specific purpose.
§ 15

Limitation of liability

To the maximum extent permitted under Dutch law, Velar / Onside.io B.V. is not liable for indirect or consequential damages, or for loss of data, revenue, or profits.

Total liability is limited to the amount paid for the Service in the previous twelve months.

§ 16

Indemnification

You agree to indemnify and hold us harmless from claims arising from:

  • Your use of the Service.
  • Your violation of these Terms.
  • Your misuse of personal data.
§ 17

Governing law & jurisdiction

These Terms are governed by the laws of the Netherlands. Any disputes shall be subject to the exclusive jurisdiction of the courts of Amsterdam, The Netherlands.

§ 18

Changes to terms

We may update these Terms from time to time. Continued use of the Service constitutes acceptance of the updated Terms.
